Clover deemed the breach not material to its financials

Assessment

Clover Health Investments disclosed the incident in a Form 8-K filed July 17, 2026 under Item 8.01 (Other Events) rather than Item 1.05 (Material Cybersecurity Incidents), stating it 'does not believe that the incident has had, or is reasonably likely to have, a material impact on its business, financial condition or results of operations'. Its later Form 10-Q discloses resulting class-action litigation but says it 'cannot reasonably estimate the possible loss or range of loss, if any'. The not-material determination is established directly from the company's SEC filings; the choice of Item 8.01 over 1.05 is the public signal of that determination.
